1. Parties and subject matter
1.1. IZSOLI.LV SIA, reg. No. 40203782559, Avotu iela 4-34, Rīga, LV-1011 (the Commission Agent), and
1.2. the Consignor - a Seller registered on the Platform who hands over goods to the Commission Agent's warehouse for sale.
1.2.1. The Commission Agent's warehouse and goods drop-off point: Latgales iela 257, Rīga, LV-1019, opening hours 8:00-20:00.
1.3. The Consignor hands over and the Commission Agent accepts goods on commission, for sale in the Commission Agent's name but on the Consignor's account, in accordance with the provisions on commission of the Civillikums (Civil Law) and the Komerclikums (Commercial Law).
1.4. Ownership of the goods remains with the Consignor until they are sold. The Commission Agent records the goods handed over separately from its own goods and does not show them on its balance sheet.
1.5. On sale, ownership passes from the Consignor directly to the Buyer.
2. Handing over goods
2.1. Goods are handed over on the basis of a handover certificate, which is prepared on the Platform and contains: the item name, quantity, condition label according to the Platform's condition scale, the minimum price set by the Consignor, the size group (S / M / L) and the date of acceptance.
2.2. The certificate is approved electronically by both parties. An approved certificate is proof that the goods were handed over and of their condition at the time of handover.
2.3. The Commission Agent checks that the goods match the certificate within 3 working days. Non-conforming or damaged goods are noted on the certificate or returned to the Consignor at the Consignor's expense.
2.4. The Consignor confirms that the goods are their property, are not encumbered, are not prohibited from circulation and meet safety requirements.
2.5. The Commission Agent does not accept goods from the List of Prohibited Items, or goods that require special storage conditions unless separately agreed.
3. Listing and selling goods
3.1. The Commission Agent photographs the item, prepares a description, determines the condition category and lists the item on the Platform. No separate fee is charged for photography and preparing the description.
3.2. The Commission Agent sells the item at auction or at a fixed price, and does not sell it below the minimum price set by the Consignor, if one has been set.
3.3. If the item is not sold within 30 days, the Commission Agent may reduce the price by no more than 20 % of the original price, after notifying the Consignor in advance. A larger reduction requires the Consignor's approval on the Platform.
3.4. The Commission Agent arranges for the item to be packed and handed over to the delivery partner, or handed over to the Buyer at a pick-up point.
4. Storage
4.1. Storage is free of charge for the first 30 (thirty) days from acceptance of the item.
4.2. After the free period, a storage fee applies according to the size group in accordance with the Price List: S - 0,05 EUR, M - 0,15 EUR, L - 0,50 EUR per unit per day.
4.3. From day 120 after acceptance, the storage fee is charged at double the rate.
4.4. In October, November and December, a seasonal factor of 150 % applies.
4.5. The total storage fee does not exceed 20 % of the item's sale price or, if the item is not sold, 20 % of the minimum price set by the Consignor.
4.6. The storage fee is deducted from amounts payable or, if the goods are not sold, must be paid before the goods are returned.
5. Unsold goods
5.1. If an item has not been sold within 60 (sixty) days of acceptance, the Commission Agent notifies the Consignor.
5.2. The Consignor collects the unsold item within 30 (thirty) days of receiving the notice, covering the collection and storage costs.
5.3. If the Consignor does not collect the item within this period, the Commission Agent may, at its discretion:
- reduce the price of the item and sell it at any price, deducting storage and handling costs;
- send the item for recycling or disposal, deducting the costs;
- keep the item, cancelling the Consignor's storage debt.
5.4. The Commission Agent notifies the Consignor of any action under clause 5.3 at least 10 days in advance. If a surplus remains after costs are covered, it is paid to the Consignor.
5.5. The Commission Agent has a right of retention over the goods until the Consignor's debts for storage, handling and commission fees are paid.
6. Commission fee and settlements
6.1. For selling an item, the Consignor pays a commission fee of 10 % of the sale price (including VAT), at least 1,00 EUR. VAT is added to the commission fee.
6.2. In the manner set out in the Price List and by giving 15 days' notice, the Commission Agent may introduce a different commission rate for goods sold from the warehouse. When the Agreement enters into force, the rate is the same as the Platform's standard rate.
6.3. The Commission Agent deducts the commission fee, storage fee, handling and delivery costs from the amount payable to the Consignor and issues an invoice for them.
6.4. Payout is made within 3 working days after the Buyer confirms receipt of the item, or 14 days after dispatch if no confirmation has been given. Minimum payout amount - 10,00 EUR.
6.5. The Commission Agent provides the Consignor with a commission agent's report on the Platform: goods sold, prices, fees deducted, amounts paid out and goods remaining in the warehouse.
7. Liability for goods in storage
7.1. The Commission Agent is responsible for the safekeeping of the goods handed over from the time of acceptance until they are handed over to the Buyer or returned to the Consignor.
7.2. Liability per unit does not exceed 100,00 EUR, unless the parties have separately agreed on the Platform on a declared value and a corresponding additional storage fee.
7.3. The Commission Agent is not liable for:
- a reduction in the value of the item caused by natural ageing;
- damage caused by hidden defects of the item or unsuitable original packaging;
- force majeure.
7.4. The Commission Agent notifies the Consignor of any damage or loss within 3 working days of discovering it.
8. Term of the Agreement
8.1. The Agreement enters into force upon approval of the first handover certificate and is concluded for an indefinite period.
8.2. Either party may terminate the Agreement by giving 15 days' notice. On termination, the Consignor collects the goods within 30 days, covering the costs; otherwise clause 5.3 applies.
8.3. The Commission Agent may refuse to accept goods without giving reasons.
8.4. The Agreement is governed by the laws of the Republic of Latvia; disputes are to be settled by the courts of the Republic of Latvia.
